By accessing our website or purchasing any of our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. About Our Services

Sortino Quants Ltd provides financial markets education, including but not limited to:

• SQ Elite Membership: A monthly subscription (£90/month) providing access to educational content, trading analysis, community channels, and exclusive resources.
• 1-to-1 Trading Sessions: Private educational sessions tailored to your level of experience, covering topics such as quantitative analysis, risk management, and trading strategies.
• Educational Content: Articles, videos, guides, and resources related to financial markets, trading, and quantitative analysis.

Important: We are a financial education company. We do not provide financial advice, investment recommendations, portfolio management services, or any form of regulated financial services. All content is strictly educational in nature.

2. Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts to use our services. By registering for an account or purchasing a membership, you confirm that you meet these requirements. Our services are intended for individuals who wish to learn about financial markets; they are not directed at individuals seeking personalised financial advice.

3. Account Registration

To access certain features, you may need to create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your account credentials and not share them with any third party.
• Notify us immediately at support@sortinoquants.com of any unauthorised use of your account.
• Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. Membership Terms

SQ Elite Membership (£90/month):

• Membership is billed monthly on a recurring basis from the date of your initial subscription.
• Your membership grants you personal, non-transferable access to the SQ Elite community, educational resources, and member benefits as described on our website.
• Membership benefits and included content may be updated from time to time at our discretion. We will endeavour to notify members of significant changes in advance.
• Access to membership content is for your personal educational use only. Redistribution, resale, or sharing of membership content is strictly prohibited.

5. 1-to-1 Trading Sessions

• Sessions are booked and paid for in advance through our website.
• Session content is educational only and does not constitute financial advice or personalised investment recommendations.
• Cancellations made at least 24 hours before the scheduled session time are eligible for rescheduling. Cancellations made less than 24 hours before the session may forfeit the session fee.
• We reserve the right to reschedule sessions due to unforeseen circumstances, in which case a full refund or alternative session will be offered.

6. Payment & Billing

• All prices are stated in British Pounds Sterling (£) unless otherwise indicated.
• Payments are processed securely through our third-party payment provider (e.g. Stripe). We do not store your full payment card details on our servers.
• By providing payment information, you authorise us to charge the applicable fees to your chosen payment method.
• You are responsible for any applicable taxes, duties, or charges imposed by your jurisdiction.
• Failed payments may result in suspension of access to your membership or services until the outstanding balance is resolved.

7. Cancellation & Refunds

• You may cancel your SQ Elite Membership at any time. Cancellation will take effect at the end of your current billing period, and you will retain access until that date.
• We do not offer pro-rated refunds for partial months of membership.
• Refund requests for 1-to-1 sessions must be submitted at least 24 hours before the scheduled session.
• In accordance with the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you may have additional cancellation rights within 14 days of purchase for digital content, provided that access to the content has not yet commenced.
• To request a cancellation or refund, please contact support@sortinoquants.com.

8. Intellectual Property

All content on our website and within our services — including but not limited to text, graphics, logos, images, videos, educational materials, trading analyses, code, and software — is the intellectual property of Sortino Quants Ltd or its licensors and is protected by UK and international copyright, trademark, and other intellectual property laws.

• You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any of our content without our prior written consent.
• You are granted a limited, non-exclusive, non-transferable licence to access and use the content for your personal educational purposes only.
• Screen recording, downloading, or capturing of live session content is prohibited unless explicitly authorised.

9. User Conduct

When using our services, you agree not to:

• Share, redistribute, or resell membership content or access credentials.
• Use our services for any unlawful purpose or in violation of any applicable laws or regulations.
• Engage in any conduct that is abusive, harassing, threatening, or disruptive to other members or our staff.
• Attempt to gain unauthorised access to our systems, accounts, or restricted areas of our website.
• Use automated tools (bots, scrapers, etc.) to access or extract content from our website.
• Misrepresent our educational content as financial advice or investment recommendations to third parties.

10. Disclaimers & Limitation of Liability

Our services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law:

• We make no warranties, express or implied, regarding the accuracy, completeness, or reliability of our educational content.
• We do not guarantee any specific outcomes, trading results, or financial returns from applying the concepts taught in our educational materials.
• We shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from your use of our services, including but not limited to financial losses from trading activity.
• Our total liability to you for any claim arising from these Terms shall not exceed the total fees paid by you to us in the 12 months preceding the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Sortino Quants Ltd, its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of our services, violation of these Terms, or infringement of any third-party rights.

12. Termination

We reserve the right to suspend or terminate your access to our services at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use our services ceases immediately, and any outstanding fees remain payable.

13. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or relating to these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of England and Wales. We encourage you to contact us first at support@sortinoquants.com to resolve any issues informally before initiating legal proceedings.

14. Modifications to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated “Last updated” date. Your continued use of our services after any modifications constitutes your acceptance of the revised Terms. For material changes, we will endeavour to notify active members via email.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and Disclaimer, constitute the entire agreement between you and Sortino Quants Ltd regarding your use of our services, superseding any prior agreements or understandings.
